Terms of Service

1. Acceptance of terms

By creating an account or using Farlio ("Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not create an account or use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", "your") and Farlio ("we", "us", "our"). These Terms should be read together with our Privacy Policy.

2. Eligibility

• →You must be at least 18 years of age.
• →You must be self-employed, an independent contractor, freelancer, or small business owner, or be an authorised representative of an entity that is.
• →You must be a resident of or conducting business in the United States.
• →You must have the legal capacity to enter a binding contract.

3. Description of service

Farlio is a software tool that provides the following features to help you manage your business finances:

• →AI-assisted extraction of data from uploaded receipt photographs and PDF documents
• →Expense and income tracking and categorisation
• →Invoice generation and client email delivery
• →Quarterly estimated tax worksheets (IRS Form 1040-ES reference)
• →Tax estimation tools based on IRS published rates
• →Mileage log and deduction calculator

IRS Circular 230: The features above are software tools and calculators. They do not constitute tax preparation services or tax advice as defined under IRS Circular 230. Farlio is not a CPA firm or Enrolled Agent. For regulated tax preparation services you must engage a CPA, EA or tax attorney.

4. AI processing and accuracy

Farlio uses artificial intelligence (OpenAI API) to extract data from your uploaded documents. You acknowledge and agree that:

• →AI extraction is not 100% accurate and may misread amounts, dates, vendor names or categories.
• →You are responsible for reviewing and correcting all AI-extracted data before relying on it.
• →The content of your uploaded documents is transmitted to OpenAI's API for processing. Refer to our Privacy Policy for details.
• →We are not liable for errors in AI-generated data that you rely on without verification.

5. User obligations

You agree to:

• →Provide accurate and truthful information at all times
• →Keep your account credentials confidential and not share access with others
• →Use the Service only for lawful purposes and in compliance with all applicable laws
• →Not upload documents that contain false, fraudulent or misleading financial information
• →Not attempt to reverse engineer, decompile, scrape or exploit the Service
• →Not upload content that infringes third-party intellectual property rights
• →Not use the Service to generate, send or facilitate fraudulent invoices
• →Comply with all applicable U.S. federal and state law, including your own tax reporting and payment obligations

6. Subscription and payment

• →The Free plan is available at no cost with feature and usage limitations as described on the Pricing page.
• →The Pro plan is $19.00 USD per month (or the discounted annual rate shown at checkout), plus any sales tax applicable in your jurisdiction.
• →Payments are processed by Stripe. By subscribing you also agree to Stripe's Terms of Service.
• →Subscriptions renew automatically at the end of each billing period unless cancelled.
• →Cancellation takes effect at the end of the current billing period — you retain Pro access until then.
• →Refunds are considered on a case-by-case basis. Contact support@farlio.app within 7 days of a charge.
• →We reserve the right to change pricing with 30 days written notice to existing subscribers. Continued use after the notice period constitutes acceptance.

7. Intellectual property

All software, design, branding, and content of Farlio are owned by us or our licensors and are protected by United States and international intellectual property laws. You retain full ownership of all data, documents and records you upload to the Service. By uploading data, you grant us a limited, non-exclusive licence to process and store it solely for the purpose of delivering the Service to you. We will not use your data for any other purpose.

8. Limitation of liability

To the maximum extent permitted by applicable law:

• →We are not liable for errors in tax estimates, sales tax calculations or quarterly tax worksheets.
• →We are not liable for IRS penalties, interest, fines or assessments arising from use of the Service.
• →We are not liable for losses resulting from your reliance on AI-extracted data that you have not independently verified.
• →We are not liable for indirect, incidental, special or consequential loss or damage.
• →Our total aggregate liability for any claim is limited to the amount you paid to us in the 3 months immediately preceding the event giving rise to the claim.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TAX, SALES TAX OR FINANCIAL CALCULATIONS WILL BE ACCURATE OR SUITABLE FOR YOUR PARTICULAR CIRCUMSTANCES. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend and hold harmless Farlio and its officers, employees and agents from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use or misuse of the Service; (b) your violation of these Terms or applicable law; (c) content, invoices or data you upload or send through the Service; or (d) your violation of any third-party right, including intellectual property or privacy rights.

11. Service availability

We aim to maintain high availability but do not guarantee uninterrupted or error-free access. We may suspend or modify the Service for maintenance, security, legal compliance or operational reasons. We will endeavour to provide advance notice where practicable. We are not liable for any loss resulting from service unavailability.

12. Force majeure

We are not liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, government action, power failures, internet outages, third-party service failures (including Supabase, OpenAI, Stripe or Vercel), cyberattacks or pandemic.

13. Account termination

You may delete your account at any time from Profile settings. Deletion is permanent and irreversible — export your data before deleting. We may suspend or terminate your account if you breach these Terms, without prior notice. Upon termination, your right to use the Service ceases immediately. Your data will be deleted within 30 days of account deletion.

14. Privacy

Our collection, use and disclosure of your personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you agree to our Privacy Policy.

15. CAN-SPAM Act compliance

Any commercial electronic messages we send (including subscription notifications) comply with the CAN-SPAM Act. Each such message will clearly identify us as the sender and include a functional unsubscribe mechanism. You may opt out of non-essential communications at any time by contacting support@farlio.app. Transactional messages (account security, subscription changes) cannot be unsubscribed from.

16. Changes to terms

We may modify these Terms at any time. We will notify you by email at least 14 days before material changes take effect. The updated Terms will be posted at farlio.vercel.app/terms. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law principles. Before commencing any formal proceeding, you agree to first contact us at legal@farlio.app and allow 30 days to attempt resolution in good faith.

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service — except disputes that qualify for small claims court — will be resolved by binding individual arbitration under the rules of the American Arbitration Association, rather than in court, except that either party may bring an individual action in small claims court. You and Farlio each waive any right to a jury trial and to participate in a class action, class arbitration, or representative action. Nothing in this section limits any non-waivable right you have under applicable consumer protection law.

18. Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable, it will be severed from the Terms. The remaining provisions will continue in full force and effect.

19. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganisation or sale of assets, provided the assignee agrees to honour these Terms.

20. Entire agreement and no waiver

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Farlio regarding the Service and supersede any prior agreements. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
